2. Platform Role

The Platform is a neutral directory and discovery service that lists third-party AI tools, applications, and services ("Listings").

We:

• do not develop, own, operate, or control any listed tools;
• do not act as a reseller, agent, or intermediary;
• do not endorse, verify, or certify Listings; and
• rely on user-submitted and publicly available information.

All Listings are provided for informational purposes only and must not be interpreted as recommendations or endorsements.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use or submit content to the Platform.

By using the Platform, you represent and warrant that you meet these requirements.

4. User-Submitted Listings

Users may submit Listings to the Platform.

By submitting a Listing, you represent and warrant that:

• you have full rights and authority to submit the content;
• the Listing is accurate, not misleading, and kept up to date;
• the Listing does not infringe any intellectual property, privacy, or other rights;
• the Listing complies with all applicable laws and regulations.

We do not independently verify ownership, authority, or accuracy of Listings and rely on user representations.

You grant us a worldwide, royalty-free, perpetual, irrevocable licence to host, display, modify, distribute, and promote your Listing.

We may, at our sole discretion:

• review, edit, reject, or remove Listings at any time;
• apply warnings, disclaimers, or classifications to Listings;
• prioritise, deprioritise, or remove Listings from visibility.

Automated Moderation: We may use automated systems or manual review processes to evaluate Listings. By submitting content, you acknowledge that automated decision-making may be used.

5. Prohibited Content

You must not submit or promote content that:

• is unlawful, misleading, deceptive, or fraudulent;
• impersonates another person, company, or service;
• promotes harmful, abusive, or criminal activity;
• contains malware, spyware, or malicious code;
• infringes intellectual property or privacy rights;
• poses a risk to user safety or system integrity.

We retain sole discretion in determining violations.

6. AI Tools and Third-Party Risk

You acknowledge and agree that:

• Listings may include tools that are not verified, audited, or reviewed by us;
• AI tools may produce inaccurate, biased, harmful, or misleading outputs;
• third-party tools may contain security vulnerabilities, malicious code, or unsafe practices;
• Listings may be submitted by third parties without affiliation to the tool owner; and
• tools may not comply with applicable laws or regulations.

We do not guarantee:

• the safety, legitimacy, or reliability of any tool;
• the accuracy of outputs generated by any tool;
• that tools are free from malware, vulnerabilities, or harmful components.

Your use of any listed tool is entirely at your own risk. You are solely responsible for conducting your own due diligence before using any tool.

7. Third-Party Content

The Platform may contain links to third-party websites or services ("Third-Party Content").

We:

• do not endorse, verify, or control Third-Party Content;
• are not responsible for its accuracy, legality, or security;
• are not liable for any interaction between you and third parties.

Accessing Third-Party Content is at your own risk.

8. Intellectual Property

You retain ownership of your submitted content, subject to the licence granted above.

All Platform content, including software, branding, databases, and design, is owned by New Horizon Code PTY LTD and protected by intellectual property laws.

You must not reproduce, distribute, or exploit any part of the Platform without prior written consent.

9. Privacy

Your use of the Platform is governed by our Privacy Policy.

10. Suspension and Termination

We may, at our sole discretion and without notice:

• suspend or terminate your access to the Platform;
• remove any Listings;
• restrict functionality or visibility.

This may occur if you:

• violate these Terms;
• submit misleading, unlawful, or harmful content;
• create risk to users or the Platform.

11. Reporting and Takedown

If you believe a Listing:

• infringes your intellectual property rights;
• misrepresents your product or service; or
• is unlawful or harmful,

you may submit a report to: legal@newhorizoncode.io

Your notice must include sufficient detail to identify the Listing and your claim.

We may investigate and, at our sole discretion:

• remove or restrict access to the Listing;
• request additional information;
• take no action where claims are unsubstantiated.

12. Disclaimers

To the maximum extent permitted by law:

• the Platform and Listings are provided "as is" and "as available";
• we make no warranties regarding accuracy, completeness, or reliability;
• we do not guarantee safety, legality, or performance of any tool;
• we are not obligated to monitor, verify, or review Listings.

13. Limitation of Liability

To the maximum extent permitted by law:

• we are not liable for indirect, incidental, or consequential damages, including loss of data, profits, or business opportunities;
• we are not liable for harm arising from third-party tools, Listings, or external services;
• our total liability is limited to the greater of AUD $100, or the amount you paid us (if any) in the previous 12 months.

Australian Consumer Law

Nothing in these Terms excludes or limits rights that cannot be excluded under the Australian Consumer Law. Where liability cannot be excluded, it is limited to the maximum extent permitted by law.

14. Indemnity

You agree to indemnify and hold harmless New Horizon Code PTY LTD and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• your Listings or submissions;
• intellectual property infringement;
• misrepresentation, fraud, or unlawful conduct;
• your breach of these Terms;
• your use of third-party tools.

15. Fees (If Applicable)

We may introduce fees for Listings or Platform features in the future. Fees will be disclosed before being charged.

Unless required by law, fees are non-refundable.

16. Changes to Terms

We may update these Terms at any time. Updated Terms will be posted with a revised Effective Date.

Continued use of the Platform constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of Queensland, Australia. You submit to the exclusive jurisdiction of its courts.

18. General

If any provision is unenforceable, the remaining provisions remain in effect.

We may assign or transfer our rights under these Terms without restriction.
