2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use or submit content to the Platform.

By using the Platform, you represent and warrant that you meet these eligibility requirements.

3. User-Submitted Listings

Users may submit AI tools, applications, or related services for listing on the Platform (“Listings”). By submitting a Listing, you represent and warrant that:

• You have full rights and authority to publish the content.
• The content is accurate, lawful, and does not infringe or misappropriate the intellectual property, privacy, or other rights of any third party.
• The content complies with all applicable laws, regulations, and industry standards.
• You grant us a worldwide, royalty-free, perpetual, irrevocable licence to host, display, distribute, promote, and otherwise use your Listing for the purposes of operating and promoting the Platform.
• We may, at our sole discretion, review, edit, refuse, or remove any Listing without prior notice.

Automated Moderation: We may use automated systems, internal review engines, or manual review to evaluate, approve, or deny submissions. By submitting content, you acknowledge and agree that automated decision-making may be applied as part of our moderation process.

4. Prohibited Content

You agree not to submit, upload, or otherwise provide content that includes or promotes:

• Unlawful, fraudulent, or misleading material.
• Tools designed to facilitate harmful, abusive, or criminal conduct (including harassment, discrimination, exploitation, scams, or violations of applicable law).
• Malicious code, viruses, or software designed to compromise user security or disrupt systems.
• Content that infringes or violates copyright, trademarks, trade secrets, moral rights, or any other proprietary rights.

We reserve sole discretion to determine what constitutes prohibited content.

5. Intellectual Property

You retain ownership of your submitted content, subject to the licence granted under Section 3. The Platform, including its design, software, branding, databases, and all associated intellectual property, is and remains the exclusive property of Syrup / New Horizon Code PTY LTD. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.

6. Third-Party Links and Content

The Platform may contain links to websites, products, or services operated by third parties (“Third-Party Content”).

Third-Party Content is provided solely for convenience. We do not endorse, control, or verify any Third-Party Content and make no warranties regarding its accuracy, legality, security, or availability.

Accessing Third-Party Content is entirely at your own risk. You are responsible for reviewing the terms and privacy policies of any third-party websites you visit.

7. Disclaimers

All Listings and Platform features are provided “as is” and “as available”, without warranties of any kind, whether express or implied.

We make no representations or warranties regarding:

• the accuracy, reliability, or completeness of Listings,
• the safety, legality, or fitness for purpose of any tool or service listed, or
• uninterrupted or error-free operation of the Platform.

Your use of the Platform and any listed tools is entirely at your own discretion and risk.

8. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, goodwill, or business opportunities, arising from or related to your use of the Platform or any Third-Party Content.
• Our total aggregate liability to you for all claims arising under these Terms will not exceed the greater of (a) AUD $100, or (b) the amount (if any) you paid us in the 12 months prior to the event giving rise to the claim.

9. Indemnity

You agree to indemnify, defend, and hold harmless Syrup / New Horizon Code PTY LTD, its officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to:

• Your Listings or submissions,
• Your violation of these Terms,
• Your misuse of the Platform, or
• Your use of Third-Party Content.

10. Changes to Terms

We may update or revise these Terms at any time. Updated Terms will be posted on the Platform with a new “Effective Date.” Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of Queensland, Australia. You agree to submit to the exclusive jurisdiction of the courts located in Queensland for resolution of any disputes.
