These Terms of Service apply to your access to and use of the AI Tools Directory platform, website, services, listing submission features, review systems, moderation systems, search features, ranking features, and any related functionality made available by us.

The Platform is operated by Syrup, a trading name of New Horizon Code PTY LTD (ABN 61 634 659 804) of Suite 121 Level 14, 167 Eagle Street, Brisbane QLD, Australia.

In these Terms, “we”, “us”, “our” means New Horizon Code PTY LTD trading as Syrup. “you” means any person or organisation accessing, browsing, submitting to, reviewing, listing on, or otherwise using the Platform.

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Platform.

1. Platform Description

The Platform is an online directory and discovery service for third-party artificial intelligence tools, software products, applications, services, agents, platforms, models, extensions, APIs, and related digital services.

The Platform may allow users to:

  • browse AI tools and related services;
  • submit tools for listing;
  • upload product information, descriptions, screenshots, logos, icons, links, tags, categories, and other listing materials;
  • request review of denied or restricted listings;
  • search, filter, compare, or discover tools;
  • view automated or manually reviewed listing information;
  • access third-party websites or services through external links;
  • interact with paid, featured, sponsored, promoted, or editorially selected listings.

The Platform is a directory only. It does not itself provide, operate, control, audit, endorse, guarantee, certify, or verify the third-party tools listed on it.

2. Our Role

The Platform acts as a neutral directory, discovery, and information service.

Unless expressly stated otherwise in writing, we:

  • do not develop, own, operate, sell, resell, license, provide, or control any third-party tool listed on the Platform;
  • do not act as an agent, broker, reseller, partner, representative, fiduciary, professional adviser, or intermediary for any listed tool or provider;
  • do not endorse, recommend, certify, warrant, approve, or guarantee any listed tool;
  • do not guarantee that any Listing is accurate, complete, current, lawful, secure, suitable, safe, available, or free from harmful components;
  • do not guarantee that any listed tool complies with privacy, data protection, consumer, intellectual property, employment, health, financial, security, or other applicable laws;
  • are not responsible for any contract, transaction, communication, relationship, payment, dispute, claim, loss, or harm between you and any third-party provider.

All Listings are provided for general informational and discovery purposes only.

3. No Professional Advice

The Platform does not provide legal, medical, clinical, financial, accounting, tax, cybersecurity, insurance, employment, compliance, procurement, technical assurance, investment, or other professional advice.

Any information displayed on the Platform, including descriptions, categories, tags, automated assessments, badges, review statuses, warnings, comparisons, summaries, or third-party claims, is general information only.

You are responsible for obtaining independent professional advice before using any listed tool in a regulated, sensitive, high-risk, commercial, clinical, financial, legal, employment, government, child safety, disability, education, cybersecurity, or other material context.

4. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Platform or submit content to it.

If you use the Platform on behalf of a company, organisation, partnership, trust, government body, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

You must not use the Platform if you are prohibited from doing so under applicable law.

5. Accounts

We may allow users to create accounts to submit Listings, manage Listings, request reviews, upload assets, or access additional features.

You are responsible for:

  • providing accurate, complete, and current account information;
  • maintaining the confidentiality and security of your login credentials;
  • all activity that occurs through your account;
  • promptly notifying us of unauthorised access, suspected compromise, or misuse of your account.

You must not:

  • create an account using false, misleading, impersonated, or unauthorised details;
  • access another person’s account without permission;
  • transfer, sell, lease, share, or sublicense your account without our written consent;
  • use automated systems to create accounts or submit Listings.

We may suspend, restrict, or terminate accounts where we reasonably consider it necessary to protect users, third parties, the Platform, legal compliance, security, or the integrity of the directory.

6. User-Submitted Listings

Users may submit AI tools, products, services, applications, websites, APIs, agents, extensions, platforms, or other digital services for inclusion on the Platform.

A submitted Listing may include:

  • product name;
  • company name;
  • website URL;
  • product description;
  • categories, tags, use cases, features, or pricing information;
  • screenshots, videos, images, logos, icons, branding, or marketing material;
  • contact information;
  • documentation links;
  • privacy, security, compliance, or legal claims;
  • other information requested or permitted by the Platform.

By submitting a Listing, you represent and warrant that:

  • all information you provide is accurate, complete, current, and not misleading;
  • you have all necessary rights, permissions, licences, consents, and authority to submit the Listing and all related content;
  • the Listing does not infringe intellectual property rights, privacy rights, confidentiality obligations, contractual rights, moral rights, consumer rights, or other legal rights;
  • the Listing does not falsely imply affiliation, endorsement, partnership, certification, verification, sponsorship, approval, or association;
  • the Listing complies with all applicable laws, regulations, industry standards, platform rules, and third-party terms;
  • the Listing does not contain malware, spyware, trackers, malicious code, phishing content, deceptive links, or unsafe instructions;
  • the Listing does not promote unlawful, harmful, abusive, deceptive, exploitative, or unsafe activity;
  • you will promptly update or correct the Listing if it becomes inaccurate, misleading, outdated, unlawful, or incomplete.

We do not independently verify every Listing and may rely on information supplied by users, providers, third parties, automated systems, public sources, and manual review processes.

7. Listing Ownership and Authority

You must not submit a Listing for a tool, company, product, service, or brand unless you have authority to do so or your submission is otherwise lawful.

If you submit a Listing for a product or service you do not own or control, you must not:

  • imply that you are the owner, operator, authorised representative, or official contact unless that is true;
  • upload logos, screenshots, branding, or proprietary materials unless you have permission or lawful grounds to do so;
  • submit inaccurate, misleading, disparaging, impersonating, or unauthorised information;
  • claim verification, certification, partnership, or endorsement unless expressly authorised.

We may require evidence of ownership, authority, affiliation, or permission before accepting, modifying, verifying, restoring, transferring, or removing a Listing.

8. Screenshots, Logos, Icons, and Uploaded Assets

The Platform may allow you to upload screenshots, logos, icons, images, product previews, interface captures, promotional graphics, documentation images, or other media assets.

By uploading any asset, you represent and warrant that:

  • you own the asset or have all necessary permissions to upload, display, reproduce, resize, crop, compress, optimise, cache, moderate, and use it on the Platform;
  • the asset does not infringe any copyright, trade mark, design right, moral right, privacy right, publicity right, confidentiality obligation, contractual obligation, or other legal right;
  • the asset does not include personal information, confidential information, health information, financial information, government identifiers, access tokens, passwords, API keys, private messages, user records, client records, patient records, employee records, or other sensitive information unless you have lawful authority and consent to upload it;
  • the asset does not contain malware, hidden code, tracking pixels, deceptive content, offensive material, unlawful material, or harmful content;
  • the asset is accurate and does not misrepresent the functionality, interface, quality, pricing, legality, security, performance, or availability of the listed tool.

You are solely responsible for reviewing screenshots and uploaded assets before submission. You must ensure that all sensitive, confidential, private, regulated, or third-party information is removed or redacted before upload.

We may resize, crop, compress, convert, optimise, cache, moderate, remove, reject, or display uploaded assets in different formats or placements as part of operating the Platform.

We are not responsible for any information you include in uploaded assets.

9. Licence to Submitted Content

You retain ownership of content you submit to the Platform, subject to the licence granted below.

By submitting a Listing, uploaded asset, logo, screenshot, description, tag, review request, correction request, or other content, you grant us a worldwide, royalty-free, non-exclusive, transferable, sublicensable licence to host, store, reproduce, display, publish, modify, crop, resize, format, adapt, translate, distribute, index, cache, promote, analyse, classify, moderate, and otherwise use that content for the purposes of:

  • operating, maintaining, improving, securing, and promoting the Platform;
  • displaying, ranking, searching, categorising, and moderating Listings;
  • generating previews, thumbnails, summaries, snippets, metadata, and search results;
  • conducting automated and manual review;
  • responding to disputes, takedown requests, legal requests, support requests, and review requests;
  • creating backups, audit logs, moderation records, compliance records, and archival records;
  • marketing the Platform and its directory features.

This licence continues for as long as reasonably necessary to provide the Platform, maintain records, comply with law, resolve disputes, enforce these Terms, or protect legitimate business, legal, security, or operational interests.

Where you remove or request removal of submitted content, we will take reasonable steps to stop public display of that content, subject to technical limitations, backups, cached pages, archival copies, legal obligations, dispute records, and legitimate operational needs.

10. Automated Review and Moderation

We may use automated systems, algorithms, rules, classifiers, AI-assisted moderation, third-party tools, manual review, or a combination of these to review, assess, classify, approve, reject, restrict, flag, rank, label, or remove Listings and submitted content.

Automated review may consider factors including:

  • content quality;
  • completeness;
  • suspected spam;
  • duplicate submissions;
  • malware or security risk indicators;
  • prohibited content;
  • misleading or unverifiable claims;
  • impersonation risk;
  • intellectual property risk;
  • category fit;
  • policy compliance;
  • safety concerns;
  • public information;
  • user reports;
  • metadata, URLs, screenshots, or submitted assets.

Automated systems may make errors. A Listing may be rejected, restricted, deprioritised, flagged, or removed even if it is lawful or legitimate.

We do not guarantee that automated review will identify every unsafe, unlawful, misleading, infringing, malicious, low-quality, or non-compliant Listing.

11. Manual Review of Denied or Restricted Listings

If your Listing is denied, rejected, restricted, removed, or otherwise limited, you may request manual review where that feature is made available by the Platform.

A manual review request may require you to provide:

  • your name and contact details;
  • your relationship to the listed tool;
  • evidence of ownership, authority, or permission;
  • details explaining why the Listing should be approved or restored;
  • corrected or updated Listing information;
  • evidence supporting claims made in the Listing;
  • any other information reasonably required to assess the request.

Manual review is not guaranteed to result in approval, restoration, or publication.

We may approve, reject, restrict, edit, classify, warn, label, deprioritise, or remove a Listing following manual review where we reasonably consider it necessary to protect users, third parties, the Platform, legal compliance, security, quality, trust, or directory integrity.

We are not required to provide detailed reasons for every moderation decision, particularly where doing so may compromise security, anti-spam systems, enforcement processes, legal position, confidential information, or the integrity of the Platform.

Repeated, abusive, misleading, bad-faith, automated, or vexatious review requests may be ignored, limited, or blocked.

12. Listing Review Statuses, Labels, Badges, and Warnings

The Platform may display statuses, labels, badges, notices, categories, warnings, disclaimers, review indicators, verification indicators, or other signals in connection with Listings.

These may include indicators such as:

  • submitted;
  • pending review;
  • automatically reviewed;
  • manually reviewed;
  • denied;
  • restricted;
  • verified owner;
  • sponsored;
  • featured;
  • reported;
  • warning applied;
  • removed;
  • duplicate;
  • unverified;
  • external link warning.

Unless expressly stated otherwise, these indicators are for Platform administration, transparency, discovery, or user information only.

They are not guarantees, certifications, endorsements, professional assessments, security audits, legal opinions, compliance approvals, or quality assurances.

A Listing marked as reviewed, manually reviewed, verified, featured, sponsored, or approved may still be inaccurate, unsafe, unlawful, misleading, outdated, unavailable, insecure, unsuitable, or non-compliant.

13. Ranking, Search, Discovery, and Featured Listings

The Platform may display Listings through search results, categories, tags, recommendations, rankings, featured sections, sponsored sections, trending sections, recently added sections, editorial selections, filters, comparison views, or other discovery features.

Placement, visibility, ranking, categorisation, and presentation may be influenced by factors including:

  • relevance;
  • category;
  • keywords;
  • completeness;
  • popularity;
  • freshness;
  • editorial judgment;
  • moderation status;
  • quality signals;
  • user behaviour;
  • technical performance;
  • availability;
  • commercial arrangements;
  • sponsorship;
  • paid placement;
  • promotional campaigns;
  • internal testing;
  • abuse prevention;
  • legal or safety concerns.

Rankings, featured placements, categories, badges, and search positions are not objective assessments, endorsements, recommendations, guarantees, or certifications.

We may change ranking, discovery, search, categorisation, filtering, or display logic at any time.

15. Reviews, Ratings, Testimonials, and User Feedback

The Platform may allow users to submit reviews, ratings, comments, reports, testimonials, feedback, corrections, or other user-generated content.

You must not submit reviews, ratings, feedback, or testimonials that are:

  • fake, misleading, deceptive, manipulated, incentivised without disclosure, or not based on genuine experience;
  • submitted by bots, fake accounts, employees, contractors, family members, competitors, affiliates, or connected parties without appropriate disclosure;
  • defamatory, abusive, harassing, threatening, discriminatory, obscene, or unlawful;
  • promotional spam;
  • false or misleading about a competitor;
  • designed to artificially inflate or damage a tool’s reputation;
  • copied from another source without permission;
  • in breach of confidentiality, privacy, employment, contract, or legal obligations.

If you receive any incentive, payment, benefit, discount, free access, partnership benefit, referral benefit, or other consideration in connection with a review, you must clearly disclose that connection.

We may moderate, remove, restrict, edit, decline to publish, or label reviews and feedback where we reasonably consider it necessary to protect users, third parties, the Platform, legal compliance, fairness, safety, or directory integrity.

We do not guarantee that reviews, ratings, testimonials, or feedback are accurate, independent, complete, current, genuine, or reliable.

16. Prohibited Content and Conduct

You must not use the Platform to submit, upload, promote, link to, publish, distribute, encourage, or facilitate content, tools, services, or conduct that:

  • is unlawful, misleading, deceptive, fraudulent, or harmful;
  • impersonates another person, organisation, product, service, or brand;
  • falsely claims affiliation, partnership, certification, endorsement, ownership, verification, authority, sponsorship, or approval;
  • infringes intellectual property rights, privacy rights, confidentiality obligations, moral rights, contractual rights, or other legal rights;
  • contains malware, spyware, ransomware, viruses, worms, trojans, malicious scripts, exploit kits, credential harvesters, trackers, or harmful code;
  • facilitates phishing, scams, social engineering, credential theft, spam, bot activity, account abuse, or payment fraud;
  • facilitates unlawful surveillance, stalking, doxxing, harassment, abuse, exploitation, or discrimination;
  • facilitates non-consensual intimate imagery, deepfake abuse, image-based abuse, identity misuse, or sexual exploitation;
  • promotes, enables, or instructs unlawful hacking, unauthorised access, vulnerability exploitation, evasion of security systems, or misuse of credentials;
  • promotes self-harm, suicide, eating disorder abuse, violence, terrorism, extremist conduct, or serious harm;
  • provides regulated professional services without appropriate licensing, disclosures, safeguards, or legal compliance;
  • targets children or vulnerable people in an unlawful, unsafe, exploitative, or inappropriate way;
  • misrepresents pricing, functionality, privacy practices, security practices, compliance, outputs, availability, ownership, popularity, or performance;
  • contains confidential, sensitive, private, regulated, or personal information without lawful authority;
  • overloads, disrupts, damages, interferes with, or compromises the Platform or its users;
  • attempts to bypass moderation, security, access controls, account restrictions, rate limits, or review processes;
  • uses the Platform for scraping, bulk harvesting, unauthorised indexing, model training, competitive intelligence, spam, or unauthorised data extraction;
  • otherwise creates risk to users, third parties, the Platform, legal compliance, security, reputation, or directory integrity.

17. Third-Party Tools and External Links

Listings may contain links to third-party websites, applications, services, APIs, platforms, documentation, terms, privacy policies, pricing pages, app stores, repositories, or other external resources.

You acknowledge that:

  • third-party tools are not operated or controlled by us;
  • external websites and services may have their own terms, policies, fees, risks, data practices, and security practices;
  • third-party tools may change, become unavailable, introduce fees, alter functionality, remove features, suffer security incidents, or change ownership without notice;
  • third-party tools may collect, use, disclose, store, transfer, analyse, or process your data in ways we do not control.

Before using any third-party tool, you are responsible for reviewing that tool’s own terms, privacy policy, security practices, pricing, compliance position, data handling, suitability, and risk profile.

Your use of any third-party tool is entirely at your own risk.

18. AI-Specific Risks

You acknowledge that AI tools may involve unique and material risks, including:

  • inaccurate, incomplete, biased, harmful, unlawful, offensive, or misleading outputs;
  • hallucinated or fabricated information;
  • unsafe or inappropriate recommendations;
  • intellectual property uncertainty;
  • privacy and confidentiality risks;
  • data retention or model training risks;
  • security vulnerabilities;
  • prompt injection or output manipulation;
  • automated decision-making risks;
  • discrimination or fairness risks;
  • regulatory uncertainty;
  • suitability issues in regulated or high-risk contexts;
  • unexpected changes in model behaviour, pricing, availability, or performance.

We do not guarantee that any listed AI tool is safe, lawful, accurate, secure, compliant, suitable, reliable, or appropriate for your intended use.

You are solely responsible for assessing whether any AI tool is appropriate for your circumstances.

19. Security and Malware Disclaimer

We may use automated or manual processes to identify suspicious, unsafe, malicious, misleading, or harmful Listings.

However, we do not guarantee that the Platform will detect all malware, spyware, vulnerabilities, malicious links, unsafe tools, scam tools, deceptive tools, insecure services, harmful outputs, or unlawful conduct.

You are responsible for using appropriate technical, organisational, legal, security, procurement, privacy, and due diligence controls before accessing, purchasing, integrating, or relying on any listed tool.

20. Intellectual Property

All rights, title, and interest in and to the Platform, including its software, code, databases, design, layout, branding, logos, trade marks, interfaces, copy, graphics, systems, workflows, moderation systems, ranking systems, search functionality, and other materials, are owned by or licensed to us.

Except as expressly permitted by these Terms, you must not:

  • copy, reproduce, distribute, modify, adapt, translate, reverse engineer, decompile, disassemble, scrape, crawl, mirror, frame, republish, sell, sublicense, or exploit the Platform or any part of it;
  • use our branding, trade marks, logos, or business names without written permission;
  • remove or alter copyright, trade mark, proprietary, or legal notices;
  • create a competing directory, database, dataset, model, search engine, or service using Platform content without written permission.

Nothing in these Terms transfers ownership of our intellectual property to you.

21. Intellectual Property Complaints and Takedown Requests

If you believe a Listing, uploaded asset, review, logo, screenshot, description, or other content infringes your intellectual property rights, misrepresents your product, impersonates your brand, or is otherwise unlawful, you may submit a notice to: legal@newhorizoncode.io

Your notice should include:

  • your full name and contact details;
  • the organisation you represent, if applicable;
  • identification of the content or Listing in question;
  • the URL or location of the content;
  • details of the rights you claim are infringed;
  • evidence of ownership, authority, or legal standing;
  • a statement explaining why the content is unlawful, infringing, misleading, or unauthorised;
  • any supporting documents;
  • a statement that the information in your notice is accurate and that you are authorised to submit it.

We may, where reasonably appropriate:

  • remove or restrict access to the content;
  • request more information;
  • notify the submitting user;
  • give the submitting user an opportunity to respond;
  • restore content where a claim is unsubstantiated;
  • take no action where we reasonably consider the claim unsupported, abusive, unlawful, incomplete, or outside our responsibility;
  • preserve records for legal, audit, enforcement, or dispute purposes.

Submitting a false, misleading, abusive, or bad-faith complaint may result in suspension, removal, legal action, or disclosure to affected parties where legally permitted.

22. Corrections and Ownership Requests

If you are the owner or authorised representative of a listed tool and believe a Listing is inaccurate, unauthorised, outdated, incomplete, misleading, or should be transferred to you, you may contact us.

We may require evidence of ownership, employment, agency, domain control, company authority, trade mark ownership, or other proof before making changes.

We are not required to transfer, remove, edit, verify, or restore a Listing unless legally required or unless we reasonably decide to do so.

23. Privacy

Your use of the Platform is governed by our Privacy Policy.

By using the Platform, you acknowledge that we may collect, hold, use, disclose, store, and process personal information in accordance with our Privacy Policy.

You must not submit personal information about another person unless you have a lawful basis, authority, and any necessary consent to do so.

You must not upload screenshots, logos, documents, or other assets containing personal information, sensitive information, health information, financial information, credentials, private messages, client records, user records, employee records, or other confidential information unless you have lawful authority and permission.

We may remove, restrict, or redact content that appears to contain personal, sensitive, confidential, regulated, or unsafe information.

24. Data Submitted Through the Platform

You are responsible for all data, files, images, text, URLs, metadata, descriptions, and other materials you submit to the Platform.

You must not submit:

  • passwords;
  • API keys;
  • access tokens;
  • secret keys;
  • private keys;
  • authentication credentials;
  • personal health information;
  • payment card information;
  • government identifiers;
  • confidential client information;
  • confidential business information;
  • regulated records;
  • information you are not authorised to disclose.

We are not responsible for loss, exposure, misuse, or disclosure of information you submit in breach of these Terms.

25. Platform Availability and Changes

We may modify, update, suspend, restrict, replace, remove, discontinue, rename, restructure, or change any part of the Platform at any time.

This may include changes to:

  • features;
  • categories;
  • tags;
  • Listings;
  • review systems;
  • ranking systems;
  • search functionality;
  • pricing;
  • plans;
  • submission requirements;
  • moderation policies;
  • sponsored placement options;
  • eligibility rules;
  • account features;
  • data retention practices;
  • third-party integrations.

We do not guarantee that the Platform, any Listing, or any feature will be uninterrupted, error-free, secure, current, available, compatible, or suitable for your needs.

26. Fees and Paid Features

The Platform may offer free and paid features.

Paid features may include:

  • premium Listings;
  • featured placements;
  • sponsored placements;
  • promoted content;
  • enhanced profiles;
  • verification features;
  • analytics;
  • review services;
  • submission priority;
  • subscription access;
  • advertising products;
  • other commercial features.

Fees, inclusions, billing periods, renewal terms, and cancellation terms will be disclosed before payment where applicable.

Unless required by law or expressly stated otherwise, fees are non-refundable.

We may change fees, plans, inclusions, or paid features by providing notice where required by law or by applying the change to future billing periods.

Payment processing may be handled by third-party payment providers. Their terms and privacy policies may apply.

27. Refunds

Except where required by law, we are not required to provide refunds for paid Listings, sponsored placements, promoted content, premium features, subscription fees, review fees, or other paid services.

A paid Listing, sponsored placement, or premium feature may still be rejected, removed, restricted, or modified if it breaches these Terms or creates legal, safety, security, trust, or integrity risks.

Payment does not guarantee approval, ranking, visibility, traffic, leads, sales, endorsement, verification, or continued publication.

28. User Responsibilities

You are responsible for:

  • your use of the Platform;
  • your submitted content;
  • your Listings and uploaded assets;
  • your interactions with third-party tools;
  • your reliance on any Listing or information;
  • your compliance with applicable laws;
  • your due diligence before using any listed tool;
  • your security, procurement, privacy, legal, and operational assessments;
  • your backups and records;
  • your account security;
  • ensuring your submissions are accurate, lawful, authorised, and not misleading.

You must use reasonable care and judgment when accessing, trialling, purchasing, integrating, or relying on any AI tool.

29. Scraping, Crawling, and Automated Access

You must not, without our prior written consent:

  • scrape, crawl, harvest, index, mirror, copy, download, or bulk extract Platform content;
  • use bots, spiders, scrapers, crawlers, browser automation, scripts, or automated tools to access the Platform;
  • create or maintain a competing directory, dataset, database, search engine, AI model, recommendation engine, or analytics product using Platform content;
  • bypass access controls, robots.txt, rate limits, paywalls, security controls, or technical restrictions;
  • use Platform content for machine learning, model training, model evaluation, data mining, benchmarking, or dataset creation;
  • overload, disrupt, degrade, or interfere with the Platform.

We may block, rate-limit, suspend, restrict, or take legal action against unauthorised automated access.

30. Acceptable Use

You must not:

  • breach these Terms;
  • use the Platform for unlawful, harmful, deceptive, abusive, or exploitative purposes;
  • interfere with Platform operation, security, or integrity;
  • attempt unauthorised access to accounts, systems, data, APIs, or infrastructure;
  • test, scan, probe, or attack the Platform without written permission;
  • submit false, misleading, fraudulent, or malicious content;
  • abuse moderation, reporting, review, or takedown processes;
  • harass, threaten, intimidate, defame, or abuse any person;
  • use the Platform to compete unfairly, mislead consumers, manipulate reviews, or damage competitors;
  • introduce malware, malicious links, harmful code, or unsafe content;
  • violate applicable laws or third-party rights.

31. Suspension, Restriction, and Termination

We may suspend, restrict, remove, or terminate your access to the Platform, account, Listing, review request, paid feature, or submitted content where we reasonably consider it necessary to:

  • enforce these Terms;
  • protect users, third parties, or the Platform;
  • comply with law;
  • respond to legal requests;
  • prevent fraud, spam, abuse, misuse, or security risks;
  • address misleading, unlawful, harmful, infringing, or unauthorised content;
  • preserve directory trust, quality, safety, or integrity;
  • investigate suspected breaches.

Where reasonable and appropriate, we may provide notice or an opportunity to respond. However, we may act without prior notice where we reasonably consider immediate action necessary.

Termination or suspension does not limit any rights or remedies available to us.

32. Disclaimers

To the maximum extent permitted by law, the Platform and all Listings are provided on an “as is” and “as available” basis.

We disclaim all warranties, representations, guarantees, and conditions, whether express, implied, statutory, or otherwise, including warranties of:

  • accuracy;
  • completeness;
  • reliability;
  • availability;
  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • security;
  • legality;
  • suitability;
  • compatibility;
  • uninterrupted access;
  • error-free operation;
  • performance;
  • safety;
  • trustworthiness;
  • compliance;
  • usefulness.

We do not warrant that:

  • Listings are accurate, complete, lawful, current, or reliable;
  • listed tools are safe, secure, suitable, legitimate, available, or compliant;
  • third-party tools are free from malware, vulnerabilities, harmful outputs, unlawful conduct, or unsafe practices;
  • automated review or manual review will detect all issues;
  • Platform rankings, categories, labels, badges, warnings, or review statuses are accurate or complete;
  • any paid, sponsored, featured, or promoted Listing will produce any traffic, leads, sales, enquiries, conversions, ranking, or business outcome.

33. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any:

  • indirect, incidental, special, exemplary, punitive, or consequential loss;
  • loss of profit, revenue, income, opportunity, goodwill, reputation, savings, contracts, business, or anticipated benefits;
  • loss, corruption, exposure, or misuse of data;
  • security incident, malware infection, vulnerability, phishing attack, scam, or harmful third-party tool;
  • reliance on any Listing, review, ranking, label, badge, warning, category, search result, or third-party claim;
  • decision to use, purchase, integrate, trial, recommend, avoid, or rely on any listed tool;
  • interaction, transaction, dispute, contract, claim, or communication between you and a third-party provider;
  • unavailability, suspension, removal, rejection, restriction, or modification of a Listing;
  • error, omission, delay, interruption, or failure of the Platform;
  • unauthorised access to or use of your account caused by your failure to secure credentials;
  • content submitted by users or third parties.

To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or in connection with these Terms, the Platform, or any Listing is limited to the greater of:

  • AUD $100; or
  • the amount you paid directly to us for the relevant Platform feature in the 12 months before the event giving rise to the claim.

34. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, remedy, warranty, or protection under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted, or modified.

Where we are permitted to limit liability for breach of a non-excludable guarantee, our liability is limited, at our option and to the maximum extent permitted by law, to:

  • supplying the services again; or
  • paying the cost of having the services supplied again.

These Terms must be read subject to any rights you have under applicable law.

35. Indemnity

You agree to indemnify and hold harmless New Horizon Code PTY LTD, Syrup, and our officers, directors, employees, contractors, agents, suppliers, affiliates, licensors, and service providers from and against any claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable legal fees, arising out of or in connection with:

  • your use of the Platform;
  • your account activity;
  • your submitted Listings;
  • your uploaded screenshots, logos, icons, images, or other assets;
  • your reviews, reports, feedback, or other user-generated content;
  • your breach of these Terms;
  • your breach of applicable law;
  • your infringement or alleged infringement of intellectual property, privacy, confidentiality, consumer, contractual, or other rights;
  • your misrepresentation, fraud, negligence, wilful misconduct, or unlawful conduct;
  • your interaction, transaction, dispute, or relationship with any third-party tool provider;
  • your use, misuse, integration, procurement, or reliance on any listed tool.

This indemnity is reduced to the extent that the relevant claim is directly caused by our fraud, wilful misconduct, or breach of law.

36. Reporting Harmful or Unlawful Content

If you believe a Listing, review, asset, link, tool, or other content is unlawful, harmful, misleading, infringing, unsafe, malicious, or otherwise in breach of these Terms, you may report it to: legal@newhorizoncode.io

Your report should include enough information for us to identify the content and assess the issue.

We may investigate reports at our discretion and take action where we reasonably consider it appropriate.

We do not guarantee that any report will result in removal, restriction, response, or investigation.

37. Communications

We may contact you using the email address, account details, or contact information you provide.

Communications may include:

  • account notices;
  • Listing status updates;
  • review outcomes;
  • moderation notices;
  • payment notices;
  • security notices;
  • legal notices;
  • service announcements;
  • policy updates;
  • support responses.

You are responsible for keeping your contact details accurate and current.

38. Beta Features and Experimental Systems

The Platform may include beta, experimental, AI-assisted, automated, incomplete, or trial features.

These features may be changed, discontinued, inaccurate, unstable, unavailable, or incomplete.

We do not guarantee the accuracy, reliability, availability, or suitability of beta or experimental features.

You use beta and experimental features at your own risk.

39. Force Majeure

We are not liable for delay, failure, interruption, or non-performance caused by events beyond our reasonable control, including:

  • internet outages;
  • hosting provider failures;
  • cloud service failures;
  • cyberattacks;
  • third-party platform failures;
  • payment processor issues;
  • natural disasters;
  • power failures;
  • industrial action;
  • government action;
  • war, terrorism, civil unrest, or public emergency;
  • changes in law;
  • events affecting third-party providers or infrastructure.

40. Changes to These Terms

We may update these Terms from time to time.

Updated Terms will be posted on the Platform with a revised effective date or last updated date.

Where changes are material and where reasonably practicable, we may provide notice through the Platform, email, or another reasonable method.

Your continued use of the Platform after updated Terms take effect constitutes acceptance of the updated Terms.

If you do not agree to updated Terms, you must stop using the Platform.

41. Assignment

You must not assign, transfer, novate, or otherwise deal with your rights or obligations under these Terms without our prior written consent.

We may assign, transfer, novate, subcontract, or otherwise deal with our rights and obligations under these Terms as part of a business transfer, restructure, merger, acquisition, sale of assets, change of control, or operational arrangement, provided this does not unlawfully reduce your rights.

42. Severability

If any provision of these Terms is held to be invalid, unlawful, void, or unenforceable, that provision will be read down to the minimum extent necessary to make it valid and enforceable.

If it cannot be read down, it will be severed from these Terms.

The remaining provisions will continue in full force and effect.

43. No Waiver

A failure or delay by us to exercise any right, power, or remedy under these Terms does not operate as a waiver.

A waiver must be in writing and applies only to the specific instance for which it is given.

44. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms expressly incorporated by reference, form the entire agreement between you and us regarding your use of the Platform.

They supersede any prior discussions, representations, understandings, or agreements relating to the Platform.

45. Survival

Clauses relating to intellectual property, submitted content licences, disclaimers, limitation of liability, indemnity, Australian Consumer Law, privacy, data retention, dispute records, governing law, and any provisions intended by their nature to survive will continue after suspension, termination, removal of a Listing, account closure, or cessation of Platform use.

46. Governing Law and Jurisdiction

These Terms are governed by the laws of Queensland, Australia.

You submit to the exclusive jurisdiction of the courts of Queensland, Australia and the courts competent to hear appeals from those courts.
